MY Backyard Limited of Unit 1, The Exchange, 6 Scarbrook Road, Croydon, CR0 1UH is hereinafter called ‘the Owner’ and the person, firm, limited liability partnership, company or other legal entity detailed on the attached booking form as ‘the Client’.

1. Definitions and Interpretation

In this agreement unless the context otherwise requires:

‘Workspace’ means the Matthews Yard workspace at Unit 1, The Exchange, 6 Scarbrook Road, Croydon, CR0 1UH.

‘Facilities and Services’ mean those services to be provided to the Client which are listed at clause 2.

‘Fee’ means the total fee payable inclusive of value added tax if applicable by the Client to the Owner to use/share the facilities on a per whole day basis as outlined in the schedule.

‘Membership Agreement’ means the agreement governing access to and use of the workspace whereby the Client requests membership for the period of time and frequency set out.

2. Shared Workspace Details

2.1 Access to and from the workspace are via the main entrance only.

2.2 Unisex washrooms and disabled toilets

2.3 Single space in one of the coworking rooms, equipment should not be left on the premises when you are not on site. Any personal belongings that are disposed, lost or stolen are not the responsibility of Matthews Yard. Please make sure you are insured for high value items and to not leave items without permission to do so.

2.4 Internet service via connection to Wi-Fi broadband only

2.5 No printing facilities, you can however pay per page in black and white in the coffee shop during opening hours.

2.6 Daily cleaning of common parts Monday to Friday except public holidays

2.7 Coworking is subject to our fair use policy of up to 30 hours per week in the space provided.

2.8 The coffee shop area does not open to the public throughout August and between the 24th December until the end of January.

2.9 Virtual office members can not collect letters in person in the month of August but can do so with notice during any other closed periods in the year (excluding bank holidays). Matthews Yard can receive letters on behalf of Virtual Office members all year around.

3. The Owner’s Obligations

3.1 The Owner agrees that subject to availability it shall make the Facilities and Services available to the Client during opening hours of at least 08.00 – 22.00 Monday – Saturday (“the Working Day”).for the period set out in the Membership agreement with each member.

3.2 The Owner warrants that it is in possession of a valid policy of public liability insurance.

3.3 The Owner will ensure that the premises will be maintained by a housekeeper daily from Monday to Friday on a schedule which operates between 7am and 10am.

3.4 The Owner will ensure a basic supply of tea, coffee and sugar is available at all times.

3.5 The owner will ensure facilities comply with health and safety and fire safety regulations

4. The Client’s Obligations

The Client agrees to;

4.1 Pay to the Owner in advance, the Fee in full and any additional fees payable for sundry items such payments to be made by credit card, or paypal on completing the Booking Form.

4.2 Observe any health & safety policy or rule and all security and other regulations which apply to the use of the Building which the Owner makes the Client aware of and to ensure compliance with the workspace house rules (see handbook).

4.3 Not use the workspace or the rest of the premises for any activities which are dangerous, offensive, noxious, illegal or immoral or which are or may become a nuisance or annoyance to the Owner or other users of the premises.

4.4 Not damage the premises, including its decorations, furniture or fixtures and pay the Owner the cost in full of replacing any damaged item or making good any such damage whatsoever which is caused to the premises by the Client or the Client’s visitors or attendees.

4.5 Not to smoke at anytime in the premises or in or around the front entrance of the premises.

4.6 To arrange insurance for its own property brought into the premises and indemnify the Owner for any loss or damage caused to the Client’s property whilst in the premises.

4.7 Not to install any equipment, appliances, heaters or furniture in the property without the Owner’s prior express permission or otherwise alter the property, its fixtures, fittings and/or partitioning.

4.8 Conduct their business when using the premises so as not to interfere with the Owner or any other persons occupying the premises and to comply with all laws and bye-laws and other requirements regulating the conduct of the Client’s business.

4.9 Indemnify the Owner from all claims, liability, loss damages and costs of whatsoever nature to the fullest extent of the law which the Owner may incur, arising out of the Client’s use of the property.

4.10 To not bring guests or visitors into the workspace area nor give them access to any members only facilities or benefits including discounts. This includes guests working alongside you - this is prohibited without permission to do so, and not paid for nor inclusive of your membership fee.

4.11 To not share door access codes to non-members of the workspace

5. General

The parties further agree

5.1 This agreement does not confer any tenancy on the Client or give the Client exclusive possession of the whole or of any part of the premises. The Owner and other users of the premises are entitled to enter the Building at any time and for any reason, or to change location with due notice to members.

5.2 This agreement is personal to the Client and the Client cannot transfer the benefit of it either wholly or partly to any other party.

5.3 If through any circumstances of force majeure it becomes impossible or impracticable to allow the property to be used both parties shall be released from their respective obligations. In such circumstances the owner shall repay to the Client any pre-paid Fees in full but shall not be liable to pay any additional sums by way of compensation or otherwise to the Client for any resulting loss or damage of any nature whatsoever.

5.4 The Client shall not leave any items in the Workspace following the expiry of this agreement, whether personal effects, furniture or other belongings and the Owner may dispose of any such items as it sees fit.

5.5 The Owner may terminate this agreement immediately in the event of any breach by the Client, (or its visitors) of any of the terms contained herein and may be asked to vacate the workspace immediately and any Fee shall be forfeited in such circumstances.

5.6 The Client agrees that the Owner may hold and process its personal data for the purposes of allowing the workspace to be used and all related administrative purposes.

5.7 Where the Client comprises more than one individual, all such individuals shall be jointly and severally liable to perform and observe the obligations contained herein.

5.8 The Owner shall endeavour to comply with the reasonable request made by a client on a Booking Form however the Owner reserves the right to refuse to accept any Booking Form or Membership Request without any reason whatever and where such Booking Form or Membership is refused any fee paid shall be repaid in full without any compensation for loss or damage of any nature whatsoever.

5.9 Cancellation: Once purchased, membership fees are non refundable. This includes members last two months fee´s paid in advance for your notice period and by being paid is agreement to our terms of use and refund policy. Membership is operated on a subscription basis and subscriptions can be cancelled at anytime, online.

5.10 On terminating membership, any workspace owned items such as keys to the premises must be returned on your last day to strictly workspace hosts only - as outlined in the welcome pack. This is the responsibility of members to organise in advance of departure.

5.11 On accepting these terms of use, you are accepting the workspace as seen and its gradual improvement. The low costs of The Exchange Workspace Fee´s are due to the developing and improving nature of the space.

5.12 This agreement is subject to and governed by the laws of England and Wales.
